About Us

Rahana Zurina & Partners is a Malaysian based law firm that brings its unique legal consultancy and advisory knowledge to its local and international clients. Founded by Siti Zurina Sabarudin, a capital market legal practitioner backed by 19 years of experience, the firm offers in-depth knowledge and know-how in the sphere of capital market, venture capital and private equity, technology and e-commerce and corporate commercial.

Our Expertise

Capital Market

We regularly advise companies as well as sponsors and corporate finance advisers, bringing together corporate finance and sector expertise from across the firm. The firm has considerable experience advising on initial public offerings, secondary issues (including subscriptions, private placements, and rights issues) and transfers between markets. Our clients include high growth companies and corporate finance advisers. Our in depth experience of acting for or alongside many of the market advisory teams in each jurisdiction including investment banks, sponsors, corporate finance advisers, and accountants means that we have a unique insight and knowledge of current market practice and expectations.

Private Equity & Venture Capital

Our lawyers have a deep understanding in licensing and registration guidelines having worked in various submission of applications for fund set-up and VE & PC firms set-up to the Securities Commission. We have also assisted investment managers in submitting fund registration in an offshore jurisdiction such as Labuan with the Labuan Financial Services Authority. Our expertise is often sought for fund set-up and to date, we have advised for the setting up of various funds, totalling to more than half a billion ringgit.

Mergers & Acquisitions

Our legal team advises public listed companies and private entities to create value through mergers and acquisitions exercise. We initiate and carry out legal due diligence on the target companies to identify legal risks and highlight how these risks could be resolved or mitigated. We deliver the full range of services typically applicable to an M&A transaction, amongst others share and asset sales and purchases, legal due diligence, post-acquisition integration, corporate restructuring and share options.

Technologies & Platforms

Our firm has advised platform operators in seeking approval from the Securities Commission of Malaysia to be approved as recognized market operators (RMO) to operate crowdfunding and peer to peer (P2P) platforms. We manage the submission process throughout the entire application, from planning the milestones, preparing the rule book, through to operationalisation of the platform. Amongst the platforms that we have advised include e-commerce, crowdfunding (equity and P2P), fintech, cryptocurrency, invoice factoring and robo-advisory.

Company Secretarial

We offer a full range of company secretarial services in Malaysia. Our company secretarial services includes incorporation and set up of public companies and private limited companies, enterprises and other types of organizations like trust bodies & non-profit organizations, provision of registered office facilities, provision of assistance at the Board meeting and shareholders general meeting and documentation, advisory on compliance and regulatory process and procedures of the Companies Act 2016 and pre- & post- listing guidelines and listing procedures advisory in accordance with Securities Commission guidelines & Listing Requirements of the Bursa Malaysia.

Our Team

Rahanawati Ali Dawam

Rahanawati Ali Dawam, is a senior partner of Messrs Abu Talib Shahrom prior to joining Rahana Zurina & Partners in January 2020. She advises clients on mergers and acquisitions, corporate restructuring, cross border transactions, private equity deals, corporate finance related works as well as debt capital market. The clients are mainly public listed companies (PLC) and government linked companies (GLC) and the State Government. She advises the board of directors of GLC and PLC, on inter alia, the corporate governance practices and compliance with the Listing Requirements of Bursa Malaysia Securities Berhad and other relevant statutory requirements.

She presently sits on the board of Rhone Ma Holdings Berhad, a company listed on the Main Market of Bursa Securities Malaysia Berhad, as an independent non-executive director. She is also a member of the Audit and Risk Management Committee and Chairman of the Nominating Committee of the company.

Siti Zurina Sabarudin

Zurina graduated in 2000 with Bachelor of Laws from International Islamic University, Malaysia. Zurina was the former Head of Capital Market, Banking and Private Equity Practice Group at Messrs Azmi & Associates, and was a former partner at Zul Rafique & Partners. Her area of expertise is diverse, from capital market to technology practice. She has in depth knowledge and industry experience in venture capital and private equity deals, merger and acquisition, technology and information technology, corporate commercial as well as initial public offering and take over exercises.

Zurina is also a technology and crowdfunding legal expert, and is highly sought for legal services in this respect. As a recognition of her legal expertise, Zurina was named as a leading individual for Capital Market – Asia Pacific Legal 500 in 2015.

Chan Kit Kheong, Partner

Toh Hanyang

Toh Hanyang graduated from University of London in 2015 with a Bachelor of Laws (Honours) degree and holds a Certificate in Legal Practice. He has been admitted as an advocate and solicitor of the High Court of Malaya in 2019 after having completed his pupilage at Messrs. Armiy Rais where he was exposed to general litigation matters and corporate transactions. At Rahana Zurina & Partners, Hanyang assists the partners in fund management, VC & PE related work.

Sarah Fouzi

Sarah Fouzi graduated with a Bachelor of Law (Hons) from Universiti Kebangsaan Malaysia (UKM) and was called to the Malaysian Bar in 2019. Sarah completed her pupillage at Albar & Partners and was retained as associate at Albar & Partners upon admission. During her stint at Albar & Partners, she was exposed to a wide range of capital market exercises in particular initial public offerings (IPO), mergers and acquisition and other corporate transactions, as well as general litigation matters. At Rahana Zurina & Partners, Sarah is currently involved in the acquisitions exercise of RM120 million by Widad Group Berhad (listed on ACE Market of Bursa Malaysia) of a concession company that manages UiTM Jasin, Melaka, and other due diligence mandates.
